Terms of Service

Please read these terms carefully before using Careitwell. By accessing or using our Platform, you agree to be bound by these terms.

1. Definitions

  • “Platform” refers to the Careitwell / AshaCareWell cloud-based Hospital Management System, including its website, web application, APIs, and all related services.
  • “Company,” “we,” “us,” or “our” refers to AshaCareWell, operating as Careitwell.
  • “User,” “you,” or “your” refers to any individual or organization accessing or using the Platform.
  • “Subscriber” refers to a hospital or healthcare organization that subscribes to our Platform.
  • “End User” refers to hospital staff, doctors, and administrators authorized by the Subscriber.
  • “Patient User” refers to patients accessing the patient portal.

2. Acceptance of Terms

By creating an account, accessing, or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

If you do not agree with any part of these terms, you must not use our Platform.

3. Service Description

Careitwell is a multi-tenant, cloud-based SaaS Hospital Management System that provides:

  • Patient registration and electronic health records (EHR)
  • Appointment scheduling and queue management
  • OPD and IPD management
  • Billing, invoicing, and insurance management
  • Pharmacy and inventory management
  • Laboratory and radiology management
  • Staff and role-based access management
  • Patient portal for self-service access
  • Reporting and analytics dashboards

Service availability, features, and limitations may vary based on your subscription plan. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.

4. Account Registration & Security

  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must immediately notify us of any unauthorized use of your account.
  • Staff accounts require Super Admin approval before activation.
  • We reserve the right to suspend or terminate accounts that violate these terms.
  • You may authenticate using email/password or Google Sign-In. Use of Google Sign-In is subject to Google's Terms of Service.

5. Subscription & Payments

  • The Platform operates on a subscription model with various pricing tiers.
  • Subscription fees are billed as per the plan selected by the Subscriber (monthly or annually).
  • All fees are exclusive of applicable GST (Goods and Services Tax) unless stated otherwise.
  • Failure to pay may result in suspension or termination of services after a 15-day grace period.
  • We reserve the right to modify pricing with 30 days' prior written notice.

6. Acceptable Use Policy

You agree to use the Platform only for lawful purposes. You shall NOT:

  • Use the Platform for any purpose other than legitimate healthcare operations.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Reverse-engineer, decompile, or disassemble any part of the Platform.
  • Upload malicious code, viruses, or any harmful content.
  • Share login credentials with unauthorized individuals.
  • Use the Platform to store data unrelated to healthcare operations.
  • Circumvent or disable any security features of the Platform.
  • Scrape, crawl, or use automated tools to extract data from the Platform.

7. Data Ownership & Multi-Tenancy

  • Your Data: All patient records, medical data, and operational data entered by the Subscriber belong to the Subscriber. We do not claim ownership of your data.
  • Tenant Isolation: Each hospital operates in a logically isolated tenant. Data from one hospital is never accessible to another hospital.
  • Data Portability: Upon subscription termination, Subscribers may request an export of their data in a standard format within 30 days.
  • Our Platform: All intellectual property rights in the Platform (code, design, trademarks, algorithms) remain exclusively with the Company.

8. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted availability. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by factors beyond our control, including internet infrastructure outages, cloud provider issues, or force majeure events.

9. Limitation of Liability

Medical Disclaimer: Careitwell is a healthcare management tool and does NOT provide medical advice, diagnosis, or treatment recommendations. All clinical decisions remain the sole responsibility of qualified healthcare professionals.

  • The Platform is provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.
  • To the maximum extent permitted by Indian law, our total liability for any claim shall not exceed the subscription fees paid by the Subscriber in the 12 months preceding the claim.
  • We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, or business opportunities.

10. Termination

  • By You: You may cancel your subscription at any time. Access will continue until the end of the current billing period.
  • By Us: We may suspend or terminate your access for violation of these terms, non-payment, or illegal activity, with reasonable notice where possible.
  • Effect: Upon termination, your right to use the Platform ceases. We will retain your data for 30 days for export purposes, after which it will be securely deleted.

11. Indemnification

You agree to indemnify and hold harmless the Company, its officers, directors, and employees from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of your use of the Platform, violation of these terms, or infringement of any third-party rights.

12. Governing Law & Dispute Resolution

  • These terms are governed by the laws of India, including the Information Technology Act, 2000, the Consumer Protection Act, 2019, and the Indian Contract Act, 1872.
  • Any disputes shall first be attempted to be resolved through good-faith negotiation.
  • If negotiation fails, disputes shall be subject to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Vadodara, Gujarat.
  • The courts of Vadodara, Gujarat, India shall have exclusive jurisdiction.

13. Changes to These Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email or in-platform notification at least 15 days before they take effect. Continued use of the Platform after changes constitutes acceptance of the revised terms.
